Chapter 1 General Provisions

Article 1 To strengthen the management for the commodity delivery warehouse specified by Far East Material Trading Center Co., Ltd. (hereinafter referred to as the trading center), regularize the physical delivery behaviors and guarantee normal delivery, the Methods are developed in accordance with the relevant laws and regulations of the Contract Law of People's Republic of China and Management Methods for Specified Delivery Warehouse of Far East Material Trading Center Co., Ltd.

Article 2 The trading center will carry out supervision and administration for the specified delivery warehouse, and the specified delivery warehouse, trader and its staff shall comply with the Methods.

Article 3 The delivery warehouse which is specified by the trading center is an enterprise providing goods delivery and warehousing services for the trader to perform electronic trading contract of commodities listed on the China Cable Material Trading Center.

 

Chapter 2 Application and Approval

Article 4 Applying for the delivery warehouse shall meet the following conditions:

(I) Business license issued by the administrative department for industry and commerce and the corresponding business qualifications;

(II) Good financial condition and strong anti-risk capability;

(III) Good business reputation, and perfect warehouse management rules and regulations, without serious records of illegal behaviors and disqualification of delivery warehouse;

(IV) Acknowledgment and compliance with the trading rules and delivery conditions of the trading center. Pay close attention to the website of the trading center and adjust the relevant operations for the warehouse according to the update of the delivery conditions;

(V) Main warehouse management personnel shall have the corresponding experience of delivery commodity warehousing and management;

(VI) Storage capacity shall be of a certain scale and available for storage of trading commodities of the trading center. The equipment shall be complete and intact, and the metering shall meet the specified requirements;

(VII) Strict and perfect commodity warehouse-in & warehouse-out system, commodity checking & accepting system, inventory management system, etc.;

(VIII) Convenient transportation, strong transfer ability and warehouse-in & warehouse-out handling capacity;

(IX) Real-time communication with the trading center, to reflect real-time and accurate dynamic conditions of commodities;

(X) Other documents specified by the trading center.

Article 5 Applying for the delivery warehouse shall be with the following materials:

(I) Application for the qualification of delivery warehouse specified by the China Cable Material Trading Center;

(II) Business license (copy of the duplicate affixed with seal);

(III) Tax registration certificate (copy of the duplicate affixed with seal);

(IV) Organization code certificate (copy of the duplicate affixed with seal);

(V) Introduction of the warehouse (background, conditions, storage capacity, etc.);

(VI) Copy of land use certificate for warehouse and relevant documents of the applicant;

Note: The enterprise renting the premises for operation shall provide the relevant documents such as the lease contract (agreement) signed with the owner.

(VII) Warehouse-in & warehouse-out system of commodities and storage management system;

(VIII) Other documents required by the trading center;

Note: The trading center may, according to the specific conditions, adjust the requirements for the warehouse materials need to be provided.

Article 6 Approval procedures for the delivery warehouse specified by the trading center:

(I) Make preliminary review according to the above listed materials;

(II) Carry out the field survey and evaluation for the applicant according to the preliminary review results;

(III) The specified delivery warehouse shall formulate the corresponding procedures or rules according to the Methods, and the physical delivery business can be conducted after such procedures or rules pass the examination and approval of the trading center;

(IV) The trading center shall select the optimum warehousing enterprise according to investigation and evaluation results, and enter into the Agreement on Specified Delivery Warehouses with such enterprise. This agreement shall be in duplicate, each party holds one.

(V) The trading center shall issue the Certificate of the Delivery Warehouse Specified by the China Cable Material Trading Center and license;

(VI) The trading center shall transfer all kinds of seals that are recorded by the trading center and special for issuing Registered Warehouse Receipt to the specified delivery warehouse;

(VII) A specially-assigned personnel shall be responsible for the delivery business of the specified delivery warehouse. Such personnel’s certificate of authorization and specimen signature (original) shall be submitted to the trading center for record;

(VIII) The relevant management personnel of the specified delivery warehouse shall be trained on the delivery business given by the training center;

(IX) The trading center shall transfer the documents that the trading center agrees to print and record to the specified delivery warehouse;

(X)The trading center will issue an announcement on the official website (www.cable-ex.com).

Article 7 After the approval of the trading center, the applicant gaining the delivery warehouse qualification shall handle the following matters:

(I) Apply for the seals necessary for standard warehouse receipt registration and put them on records at the trading center;

(II) Determine a person in charge of delivery business of listed commodities, establish delivery business institutions, appoint a person to be responsible for the management of delivery commodities, handle standard warehouse receipt business, and submit the authorization and authorized signature to the trading center for record.

(III) Pay the delivery guarantee fund;

(IV) Prepare the operation procedures and rules conforming to the requirements of the trading center according to the Methods;

(V) The management personnel of the delivery warehouse shall be trained on the delivery business given by the training center;

(VI) Other matters specified by the trading center.

Article 8 When the specified delivery warehouse terminates its qualification, the application thereof shall be submitted to the trading center for review and approval.

If the qualification of delivery warehouse is waived or canceled, the following items shall be completed:

(I) Put all the delivery commodities out of storage or change them into spot commodities;

(II) Settle the credit and debt with the trading center;

(III) Settle the credit and debt with the members and customers;

(IV) Check and return the delivery guarantee funds according to the requirements of the trading center.

In case of confirmation or cancel of the delivery warehouse qualification or consent of abandoning qualification, the trading center shall notify the members and the delivery warehouse in time.

Chapter 3 Rights and Obligations

Article 9 Rights of the specified delivery warehouse:

(I) Charge the traders storing goods for the relevant fees according to the charge items, standards and methods authorized by the trading center;

(II) Give advice and suggestion for the delivery business and warehouse management regulations formulated by the trading center;

(III) Other rights specified in the delivery rules of the trading center and the Agreement on Specified Delivery Warehouses;

(IV) Refuse the storing party not conforming to the requirements of the trading center to complete the inventory warehousing formalities;

(V) Refuse the commodities not conforming to the standard specified by the trading center to enter the warehouse.

Article 10 Obligations of the specified delivery warehouse:

(I) Comply with the rules and other relevant provisions of the trading center; accept the supervision given by the trading center; provide the relevant information to the trading center in time;

(II) Take good care of the delivery commodities as required to ensure safety; seriously complete the daily inventory reports (including variety, specification, origin and weight) for the trader’s stored goods; accurately and timely report to the trading center on warehouse inventory statistics and storage capacity;

(III) Improve the warehouse management system; appoint a special personnel to take charge of the delivery business; actively cooperate with the trading center and assist traders of the trading center to arrange such related matters as the transportation, warehouse-in, inspection, storage, warehouse changing, warehouse-out for the delivery commodities;

(IV) Arrange goods of the traders of the trading center to warehouse preferentially under the same conditions;

The specified delivery warehouse shall carry out the goods inspection and warehousing formalities for the traders according to the principle of “first come first in, first applying first in, and first selling first in”;

(V) Ensure the consistency between the provided Warehousing Record and the material objects; bear legal liability for the truthfulness, accuracy and effectiveness of Warehousing Record provided;

(VI) Provide the delivery commodities to the traders and assist in arranging delivery according to the requirements and the business rules of the trading center;

(VII) Accept the annual review organized by the trading center;

(VIII) Pay the delivery guarantee fund;

(IX) Cooperate with and supervise the third quality testing organization in sampling;

(X) Provide the traders of the trading center with the regulations relating to warehouse management in details, including the longest custody period of stored goods, delivering fee, transportation, fire protection measures, etc.

(XI) Protect the commercial secrets of the goods stored by the traders of the trading center;

(XII) The specified delivery warehouse shall be liable for compensation due to its fault causing the holder of the Registered Warehouse Receipt to fail in exercising or fully exercising the rights thereof;

(XVIII) Promptly notify the trading center in case of changes of legal representative, registered capital, shareholders or equity structure, storage place and authorized business personnel or litigation and arbitration matters that may involve in the safety of delivery goods;

(XIV) Keep the original documents (such as Warehousing Record and Bill of Lading) at least twenty years;

(XV) Other obligations specified in the delivery rules of the trading center and the Agreement on Specified Delivery Warehouses;

Article 4 Day-to-day Business

The day-to-day business of delivery warehouse is divided warehouse-in stage, custody stage and warehouse-out stage.

Article 11 The delivery warehouse shall ensure that the commodities used for delivery are preferential in warehouse-in & warehouse-out stages.

Article 12 The storage of the delivery commodities shall conform to the technical specification of the State or the industry involved and the one provided the trading center. The delivery warehouse shall, according to the different performance and characteristics of all kinds of varieties and in combination with local natural conditions, choose the appropriate storage places and scientific and reasonable ways of stacking for the custody, maintenance and servicing of commodities, to ensure the stored commodities are in good conditions.

Article 13 The delivery warehouse shall adopt the listing management for the delivery commodities. The signs thereof shall be in line with the regulations of the trading center.

Article 14 The delivery warehouse shall properly keep the inspection results as per the relevant regulations of the trading center, and shall inform the trading center within 24h after the completion of commodity inspection and warehousing.

Commodity warehousing flow:

(I) Commodity receiving. Formalities and responsibilities shall be clear when the specified delivery warehouse receives the warehouse-in commodities. In case of sealing damage, unconformity between goods and certificate, quantity short, commodity damage, packaging damage, the specified delivery warehouse shall ask the responsible department for the relevant records and transfer the commodities to the seller’s trader to handle. Meanwhile, it shall make the warehouse-in inspection record and give a report to the trading center.

(II) Commodity acceptance. Commodity acceptance is an inspection for the appearance quality and quantity of a commodity according to certain procedures and formalities, to verify the conformity between goods and certificate and whether the commodities conform to the requirements of the trading center. Such acceptance item of the delivery warehouse specified by the trading center aims to check the name, label, specification, quantity of commodity, necessary warehouse-in materials, packaging condition and visible surface quality (where un-packaging is not required).

(III) Commodity warehousing and provision of Warehousing Record Warehousing. Formalities can be conducted when the acceptance is qualified (or small problems found in acceptance have been handled already), including entry account, filling in custody card and setting up a commodity file. In addition, the delivery warehouse shall provide the Warehousing Record as per the specific regulations of the trading center.

Article 15 The trader not in possession of Bill of Lading cannot enter the warehouse and check the stored delivery commodities.

Article 16 The storage or stacking provided for the delivery commodities by the delivery warehouse shall be in accordance with the technical specification proposed by the trading center. Without the consent of the trading center, the delivery warehouse cannot change the way to store or stack the delivery commodities.

Article 17 The facilities for storing delivery commodities shall conform to the specified conditions. Warehouse area and the internal part of the warehouse shall be kept clean and sanitary.

Article 18 The delivery warehouse shall manage the delivery commodities according to the storage and maintenance requirements for the delivery commodities and the provisions in Agreement on Specified Delivery Warehouses, to effectively ensure the quality and safety of the delivery commodities, with storage record being made.

Article 19 Without the consent of the trading center, the delivery warehouse cannot move the storage position or stack position of the delivery commodities. In case of any loss, the delivery warehouse shall take full responsibility for its moving without authorization.

Article 20 The specified settlement warehouse can, in accordance with the requirements of traders, adopt the ways of dispatching, delivering or forwarding to send the commodities out.

When goods delivery, the delivery warehouse shall handle the warehouse-out formalities seriously and in time and complete re-check:

(1) Re-check the effectiveness of the Bill of Lading.

(2) Re-check the ID number of the person taking delivery of goods and vehicle’s license plate number.

(3) Check the conformity between the Bill of Lading and the corresponding goods.

(4) Deal with warehouse-out formalities as soon as possible once such checks are correct.

(4) Register and cancel the material accounts, clean up the documents and certificate, clean places and sort goods stacks on that day when goods are delivered; provide transportation plan to the transportation department in advance for the materials that need forwarding operation; withdraw the Billing of Lading and stamp the “Completed” on it and then give a copy to the warehouse for saving.

The following place for quick transaction of delivery is related to the safety of white sugar delivery.The delivery warehouse where commodities are stored in mixing shall promptly inform the trading center of the change situations of the forwarding progress, warehouse number, position and the forwarding direction. After the completion of forwarding, the delivery warehouse shall submit the relevant warehouse-out formalities to the trading center as required.

Article 21 The specified delivery warehouse shall be liable for compensation due to its fault causing the holder of the Registered Warehouse Receipt to fail in exercising or fully exercising the rights thereof.

 

Chapter 5 Supervision and Administration

Article 22 As for the commodities delivered at the delivery warehouse, separate accounts shall be provided for administration.

Article 23 The sampling and annual verification system is carried out by the trading center for the delivery warehouse, and such warehouse can be required to self-check.

In the course of self-check, sampling and annual verification, in case any behavior in violation of relevant provisions is identified at the delivery warehouse, the trading center can ask for rectification within limited time, suspend warehousing or cancel the qualification of the delivery warehouse, and the resultant loss shall be shouldered by the delivery warehouse.

(I) Self-check system. Each specified delivery warehouse shall select one or several items of work contents for inspection per month as per the Methods, detailed rules concerning delivery and the actual conditions of the warehouse. Besides, relevant records shall be made.

(II) Sampling system of trading center. One or several items of work contents at each specified delivery warehouse will always be sampled by the trading center as per the conditions mastered or the reflections made by the trader, with detailed records being made, so as to check for the implementations of various provisions specified by the trading center during delivery of commodities and warehousing of goods.

(III) Annual verification system. The assessment criteria shall be formulated by the trading center for annual inspection on the work of the specified delivery warehouse. As for the disqualified warehouse, the trading center may reduce its approved storage capacity or suspend its delivery operations until the qualification of such warehouse is canceled.

Article 24 The delivery warehouse is not allowed to conduct the followings:

(I) Participation in the electronic transactions at the trading center concerning the commodities for which the delivery services are provided;

(II) Issuing a false Warehouse Warrant;

(III) Leaving the specified inspection items uncompleted and issue the Warehouse Warrant;

(IV) Incorrect delivery of goods;

(V) Deterioration of commodities warehoused due to improper safeguarding;

(VI) Damage to packages and commodities in the course of handling, loading/unloading and stacking;

(VII) Default by the seller’s trader or the buyer’s trader due to deliberated obstacles;

(VIII) Limiting or deliberated delaying of warehousing/delivery of commodities to be delivered by violating the rules concerning delivery business at the trading center;

(IX) Charging in violation of provisions at the trading center during delivery of commodities;

(X) Appropriation or exchange of commodities to be delivered;

(XI) Stealing and selling of the commodities to be delivered;

(XII) Purchasing of goods on behalf of the trader to claim the Registered Warehouse Receipt;

(XIII) Other behaviors prohibited by the trading center.

Article 25 The delivery warehouse shall pay the delivery bond to the trading center to guarantee the performance of obligations. The amount of delivery bond and payment methods shall be clearly specified in the Agreement on Specified Delivery Warehouses. The interest of the delivery bond shall belong to the delivery warehouse, and shall be calculated per year as per the demand deposit interest rate at the corresponding period issued by the People’s Bank of China.

Article 26 In case the possessor of the standard warehouse receipt cannot exercise the rights of such receipt partially or completely out of the reasons of the delivery warehouse, the delivery warehouse shall shoulder the compensation liabilities. The insufficient part of compensation shall be supplemented by the trading center as per relevant provisions. Afterwards, the trading center reserves the right to claim compensation from the delivery warehouse.

Supplementary Provisions

Article 27 As for those in violation of relevant provisions specified in the Methods, the trading center will handle with relevant matters as per the provisions specified by China Cable Material Trading Center.

Article 28 As for the matters unstated in the Methods, relevant agreements signed by and between the trading center and the delivery warehouse shall prevail.

Article 29 Far East Material Trading Center Co., Ltd. has right to interpret the Methods.

Article 30 The Methods shall be implemented from the date of publishing.
